How you may use this site, and how Foundation is offered.

Trucast Technologies Inc. is a Delaware corporation based in Armonk, New York. We operate the website at trucast.ai and Foundation, a read-mostly agent overlay for regulated firms. Questions about these terms go to info@trucast.ai.

Using this website and using Foundation are not the same contract, and these terms treat them separately.

• This website. By visiting, subscribing, or sending a form, you agree to these terms for that use. You do not need an account to read the site.
• Foundation. Access to the product is offered to firms under a written engagement. The signed agreement, together with any data processing addendum, is the contract for that work. These terms fill gaps; they do not override a signed paper.

If you use the site, you accept these terms. If you do not accept them, do not use the site. If you accept on behalf of a firm, you represent that you have authority to bind it.

The site and Foundation are for adults acting for a business. You must be at least 18, and you must have the legal capacity to agree. Foundation is not a consumer product.

We publish the site so you can read what we do, subscribe to On the Record, and ask for a conversation. We grant you a limited, revocable license to access the pages we make public, for that purpose. We do not grant a license to scrape, republish, or train a model on the site.

A contact form or a newsletter signup is a request, not a contract for Foundation. We will reply to a genuine inquiry. We do not owe you an engagement because you wrote in.

Foundation reads live from systems your firm connects, proposes answers and writes with citations, and writes back only when a named person on your roster approves. It runs on Claude in your Anthropic organization. The operational description, covering receipts, scopes, and revocation, is on /trust. That page is how the product is built. It is not a warranty that every answer is correct.

• Your records stay yours. You retain all rights in the systems of record you connect and in the content Foundation reads there. You do not grant Trucast a license to use that content for any purpose other than performing the engagement.
• We are a processor. We process customer data on your instructions. We do not use it to train models, to advertise, or to build a product for someone else.
• Writes are proposals. A change to your system of record happens only after a named approver who is not the proposer acts. You are responsible for who sits on that roster and for the decisions they make.
• You authorize the connections. Credentials and scopes come from your identity provider. You represent that your firm has the right to connect those systems and to let Foundation read, and where agreed write, what the scopes allow.
• The model account is yours. Your contract with Anthropic governs that account. Foundation does not run customer records through a Trucast-owned model tenancy.

An engagement begins on a replica built from representative data, not your records, then moves to read-only on live data, then to governed writes, each step with written exit criteria. Revoke the credential and access ends, including cached tokens and in-flight jobs. Turn Foundation off, and your systems are exactly as they were.

Some surfaces require a login. If we issue you a seat, you will keep the credentials accurate and to yourself, and you will tell us if they are compromised. A valid login without a seat on the named roster is refused. We may suspend a seat that is being abused.

You agree not to:

• Use the site or Foundation for any illegal or unauthorized purpose
• Attempt to gain unauthorized access to our systems, or to another firm's environment through us
• Interfere with or disrupt the integrity or performance of the services
• Reproduce, distribute, or publicly display our content without permission
• Use customer data, prompts, or outputs to train a model, or to build a competing service
• Misrepresent who you are, or the firm you speak for

If you send a message, a form, or a comment, you keep ownership of it. You grant us only the limited right to read it, to reply, and to keep an ordinary business record of the inquiry. That is not a license to publish your message or to use it in our product.

You are responsible for what you send. Do not send us material you have no right to share, and do not send us another firm's confidential records through a marketing form.

The site, Foundation, our name and marks, and the writing we publish, including On the Record, are owned by Trucast Technologies Inc. and are protected by copyright, trademark, and other law. These terms do not transfer that ownership.

Your systems of record, and the content in them, remain yours. Receipts Foundation keeps are the account of the work, not a copy of your records, and they exist so the engagement can be audited.

If you give us feedback about the product, we may use it to improve Foundation without owing you a fee or an attribution. Feedback is not customer data.

Use of the site and of Foundation is also governed by the Privacy Policy. Where that policy and a signed data processing addendum differ on customer data, the addendum controls.

Foundation depends on processors named on /trust and in the Privacy Policy, including the model, running in your Anthropic account. Those providers have their own terms. We are not responsible for a service we do not operate, and a failure there is not, by itself, a failure of these terms.

We may suspend or end website access if you breach these terms or if we have to, for security or for the law. For Foundation, the signed agreement governs notice, wind-down, and what happens to receipts. The product itself is built so that revoking the credential ends access; there is no customer-content store to hand back or to purge beyond the receipts your agreement says we should keep.

The October 2024 terms said we could terminate at our sole discretion, without notice, for any reason. That sentence does not describe how an enterprise engagement ends, and it does not apply where a signed agreement sets the process.

We will operate the site and, under a signed engagement, Foundation with reasonable care, in the shape described on /trust. We do not promise that the site will be uninterrupted, that a cited answer will be complete, or that an extraction will be the one your firm would have written. We QA the structure. Your firm keeps QA over the values, and a named person approves any write.

Except as a signed agreement states otherwise, the site and Foundation are provided as they are and as available, without warranties of any kind, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

To the fullest extent permitted by law, Trucast will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, arising out of or relating to your use of the site or Foundation.

A signed agreement may set a different cap, a different allocation of risk for an approved write, or additional remedies. Where it does, that paper controls for the engagement.

If we change these terms in a way that matters for the website, we will post the new version here with a new effective date. Continued use of the site after that date is acceptance of the new terms. A material change to how Foundation is offered will go to the contacts on the agreement; it does not land on a customer by a website post alone.

These terms are governed by the laws of the State of Delaware, without regard to its conflict-of-law rules.

Any dispute arising out of or relating to these terms, including whether this clause applies, will be decided by arbitration in Wilmington, Delaware, before one arbitrator, administered by the American Arbitration Association under its Commercial Arbitration Rules. Judgment on the award may be entered in any court with jurisdiction. Either party may still seek a provisional remedy in aid of arbitration from a court that has jurisdiction.

If your firm has a signed agreement with a different governing-law or dispute clause, that clause controls for the engagement.
